Our scope of services in this practice area mainly include:
● acting on behalf of clients in their company winding-up and bankruptcy petitions including making petitions to the High Court, contesting winding-up petition, assisting clients in gathering necessary evidence and drafting affirmations;
● providing legal advice to clients in relation to shareholders’ voluntary winding-up or creditors’ voluntary winding-up;
● advising on intricate issues with regard to unfair advantages, undervalue transactions, avoidable transactions and breach of director’s fiduciary duties in the context of company’s winding-up; and
● representing oppressed minority shareholders of a company applying to the court to obtain an order on the ground of “unfair prejudice” in accordance with section 168A of the Companies Ordinance, and alternatively submitting a winding-up petition to the court on the ground of “fairness and reasonableness”.
